SIEVI, FINLAND – Scanfil has completed its acquisition of Italian electronics manufacturing services provider MB Elettronica, finalizing a transaction first announced in July.

The acquisition strengthens Scanfil’s position in high-reliability electronics, particularly in aerospace and defense, which accounted for 40% of MB Elettronica’s turnover in 2025. MB also brings a strong customer base in Italy and Southern Europe across industrial and medtech and life science markets.

Based on MB Elettronica’s preliminary, unaudited 2025 financials, the company reported turnover of EUR 120.0 million (about $130 million), an increase of 21.9% year over year.

The purchase price corresponds to a maximum enterprise value of EUR 123 million (about $133 million). Of that total, EUR 91 million (about $99 million) was paid at closing, with the remaining EUR 32 million (about $35 million) tied to MB’s financial performance in 2026 and 2027. Scanfil said the transaction was financed through existing credit facilities.

Scanfil said the acquisition supports its growth strategy in demanding customer segments and expands its manufacturing footprint in Southern Europe.
