WATERTOWN, MA -- Laboratories Protec's US subsidiary has acquired the XRF line from Dynasil for $1.1 million, including $925,000 in cash. Under terms of the deal, Protec will assume certain liabilities.
Laboratories Protec also made payments of approximately $425,000 toward outstanding accounts receivable in connection with the transaction.
Protec is the company's longtime distributor.
The deal covers Dynasil's x-ray florescence detectors, which are used to determine the presence of lead and other metals in electronics and other end-products.
The sale is part of Dynasil's previously announced restructuring strategy to improve liquidity and pay down bank debt.
The two firms also signed a transition services agreement under which Dynasil will provide certain transitional services to Protec for up to five months after closing.
Dynasil acquired RMD in 2008 in a deal valued at $20 million.
